What is an Annual Return?
An Annual Return is a document stating the standing information such as directors and shareholders of a company or members of a limited liability partnership.
As the name suggests, it must be submitted annually to Companies House.
What are Company Secretarial services?
Company Secretarial services describes the work that the company secretary would ordinarily do which includes keeping the company compliant with the Companies Act 2006 including maintaining statutory registers, preparing and filing necessary papers including the annual return above.
A Company Secretary is no longer required by law however but companies are of course still required to comply with the law.
Why is this important?
Mainly of course to keep the directors and the company on the right side of the law. Failure to file an annual return or filing it late will at least affect a company's credit rating and at worst could result in criminal prosecutions and fines for the directors for failure to comply with the law.
Other company secretarial work such as maintaining statutory registers is equally as important but often overlooked by companies.
